1. Definitions
"Agreement" refers to these Terms and Conditions together with any engagement letter or service proposal executed between us.
"Services" refers to the business consulting services provided by Spire Consulting, including but not limited to Ambition Alignment Advisory, Growth Readiness Assessment, and Aspiration Workshop Facilitation.
"Client" or "You" refers to any individual or organisation engaging our Services or using our website.
"We", "Our", or "Us" refers to Spire Consulting, a business consulting firm registered in Hong Kong.
"Deliverables" refers to any reports, frameworks, documentation, or other materials produced during an engagement.
2. Acceptance of Terms
By accessing our website or engaging our Services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or Services.
You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are engaging our Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.
These terms may be supplemented by specific engagement letters or proposals, which shall take precedence in case of any conflict regarding the particular engagement.
3. Service Description
Spire Consulting provides business consulting services to organisations in Hong Kong and the surrounding region. Our Services include:
Ambition Alignment Advisory: Guidance on ensuring organisational ambitions are shared, realistic, and supported by appropriate capabilities.
Growth Readiness Assessment: Comprehensive evaluation of organisational preparedness to pursue growth opportunities.
Aspiration Workshop Facilitation: Facilitated sessions helping teams envision and articulate meaningful future states.
The specific scope, deliverables, timeline, and fees for each engagement will be outlined in a separate proposal or engagement letter.
4. User Responsibilities
When using our website or engaging our Services, you agree to:
Provide accurate and complete information as requested.
Use our website and Services only for lawful purposes and in accordance with these terms.
Cooperate with our consultants and provide timely access to relevant information, personnel, and resources necessary for the engagement.
Maintain the confidentiality of any login credentials or access information provided.
Refrain from any conduct that could damage, disable, or impair our website or interfere with others' use.
5. Prohibited Activities
You agree not to:
Use our website or Services for any fraudulent or unlawful purpose.
Attempt to gain unauthorised access to any part of our systems or data.

6. Intellectual Property
Our Intellectual Property: All content on our website, including text, graphics, logos, and methodologies, is owned by Spire Consulting or our licensors and is protected by applicable intellectual property laws. You may not use, reproduce, or distribute this content without our prior written consent.
Deliverables: Subject to full payment of fees, you will own the final Deliverables produced specifically for your engagement. However, we retain ownership of our underlying methodologies, frameworks, templates, and know-how used in creating those Deliverables.
Client Materials: You retain ownership of all materials and information you provide to us during an engagement. You grant us a limited licence to use such materials solely for the purpose of delivering our Services.
7. Payment Terms
Our consulting fees are specified in the engagement proposal or letter. Unless otherwise agreed:
Deposit: A deposit of 50% of the total engagement fee is due upon acceptance of the proposal.
Balance: The remaining balance is due upon completion of the engagement or as specified in the payment schedule.
Payment Method: Payments may be made by bank transfer to the account specified in our invoice. All fees are quoted and payable in Hong Kong Dollars (HKD).
Late Payment: Overdue amounts may be subject to interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
Expenses: Reasonable out-of-pocket expenses incurred in delivering Services will be billed separately with supporting documentation.
8. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary or confidential information disclosed during an engagement. This includes business strategies, financial information, client lists, and other sensitive data.
Confidential information may be disclosed only to those who need to know for purposes of the engagement, and who are bound by similar confidentiality obligations.
These confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Disclaimers
No Professional Advice: Our website content is for general information only and does not constitute professional advice. You should seek independent professional advice before making business decisions.
No Outcome Assurances: While we endeavour to provide high-quality consulting services, we cannot assure specific business outcomes. The success of any strategy or recommendation depends on many factors beyond our control.
As-Is Basis: Our website is provided "as is" without warranties of any kind, either express or implied, including implied warranties of merchantability or fitness for a particular purpose.
10. Limitation of Liability
To the maximum extent permitted by law:
Our total liability for any claims arising from or related to an engagement shall not exceed the fees paid for that engagement.
We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or business interruption.
These limitations apply regardless of the theory of liability (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold harmless Spire Consulting, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these terms, your use of our Services, or your violation of any third-party rights.
12. Termination
By Client: You may terminate an engagement with 14 days' written notice. You will be responsible for payment of all Services rendered up to the termination date, plus any non-cancellable expenses.
By Us: We may terminate an engagement if you breach these terms or an engagement agreement, fail to pay fees when due, or if circumstances arise that make continued performance impractical.
Effect of Termination: Upon termination, all confidentiality obligations survive, and you will receive any completed Deliverables upon payment of all outstanding fees.
13. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, government actions, epidemics, civil unrest, or other events of force majeure. The affected party shall notify the other promptly and use reasonable efforts to mitigate the impact.
14. Dispute Resolution
Informal Resolution: Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days.
Mediation: If informal negotiation is unsuccessful, the parties may agree to mediate the dispute before a mutually acceptable mediator.
Jurisdiction: These terms shall be governed by the laws of the Hong Kong Special Administrative Region. Any disputes that cannot be resolved through negotiation or mediation shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
15. General Provisions
Entire Agreement: These terms, together with any engagement letter, constitute the entire agreement between the parties regarding the subject matter hereof.
Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: No waiver of any term shall be deemed a continuing waiver or a waiver of any other term.
Assignment: You may not assign your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to a successor entity.
Notices: All notices under these terms shall be in writing and sent to the addresses specified in the engagement letter or as otherwise notified.
16. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of our website or Services after any changes constitutes acceptance of the revised terms. For ongoing engagements, the terms in effect at the time of the engagement letter shall apply unless otherwise agreed.
